1. Introduction and Acceptance of Terms

Welcome to PlayMeAI (playmeai.com). These Terms and Conditions (“Terms”) govern your access to and use of the PlayMeAI website, products, software, and services (collectively, the “Services”). The Services are provided by PlayMeAI, a company specializing in AI Gaming Hardware & Interactive Entertainment Technology.

By accessing or using any part of our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. 3.1. PlayMeAI Content

All content, features, and functionality available through the Services, including but not limited to hardware designs, software code, text, graphics, logos, images, audio clips, video clips, data compilations, and the compilation thereof, and any AI models or algorithms developed or deployed by PlayMeAI, are the exclusive property of PlayMeAI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted under these Terms.

3.2. User-Generated Content (UGC)

Our Services may allow you to submit, upload, publish, or otherwise make available content, including but not limited to text, photos, videos, audio, and game modifications or designs (“User Content”). You retain all rights in and to your User Content, subject to the licenses granted herein.

3.3. License Granted by You to PlayMeAI

By submitting User Content through the Services, you grant PlayMeAI a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and PlayMeAI’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. This license includes the right for PlayMeAI to use, copy, display, distribute, and otherwise exploit your User Content in connection with its AI development, training, and improvement, including for the development of new AI models, gaming hardware, and interactive entertainment experiences.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish and exploit the User Content that you submit.

4. User Liabilities and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct while using the Services and for any User Content you submit. You agree not to:

Violate any applicable federal, state, local, or international law or regulation.
Infringe upon or violate PlayMeAI’s or any third party’s intellectual property rights.
Transmit any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by PlayMeAI, may harm PlayMeAI or users of the Services or expose them to liability.
Use the Services to transmit any computer viruses, worms, Trojan horses, or other malicious code.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
Impersonate or attempt to impersonate PlayMeAI, a PlayMeAI employee, another user, or any other person or entity.
Circumvent, disable, or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.

PlayMeAI reserves the right to terminate your access to the Services for violating any of the prohibited uses.

5. Disclaimers

5.1. “As Is” Basis

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. PLAYMEAI HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

5.2. No Warranties

NEITHER PLAYMEAI NOR ANY PERSON ASSOCIATED WITH PLAYMEAI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER PLAYMEAI NOR ANYONE ASSOCIATED WITH PLAYMEAI REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

5.3. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL PLAYMEAI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

6. Indemnification

You agree to defend, indemnify, and hold harmless PlayMeAI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services’ content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

7. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the City of Wilmington and County of New Castle, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

8. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. 9. Termination

The Terms and our Privacy Policy constitute the sole and entire agreement between you and PlayMeAI regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

10.3. Waiver

No waiver by PlayMeAI of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PlayMeAI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
